註冊印度公司：在印度成立公司的完整步驟流程

概述

公司類別－私人公司、公開公司、製造公司、金錢借貸公司

1. 檢查公司名稱／商標是否可用
2. 透過 MCA 網站的 RUN 線上服務保留欲設立的公司的名稱
3. 公司提名的董事獲得數位簽證（DSC）和董事識別碼（DIN）。也可以透過填寫 INC32 表單申請 DIN
4. 應適當填寫 INC32 表單（Spice）並提交 RoC 以成立公司，並根據前述表單填寫的細部資料，自動產生PAN 和 TAN
5. 填寫 INC32 中的公司備忘錄（eMoA- INC33）和公司章程（eAoA- INC34）電子文件。外國申請人應檢附實體 MoA 和 AoA 上傳
6. 上傳 Spice 並經 MCA 確認付款
7. RoC 驗證／審查所有文件和表單，且可能建議申請人需對附件或表單做一些必要修改
8. 獲得成立證書，並同時獲得公司註冊碼（CIN），永久帳號（PAN）以及稅務帳號（TAN）。

*備註：外國認購者／董事需進行文件認證／公證

LLP／FLLP

公司類別－有限責任合夥

1. 新設立的 LLP 之董事獲得指定合夥人識別碼（DPIN）
2. 其董事獲得第二類或第三類數位簽證（DSC）
3. 公司事務部（MCA）提供現有 LLP 清單，以檢查其是否與現存公司／LLP 之名稱重覆；商標亦同
4. LLP之名稱請透過填寫表單1；FLLP 之名稱則填寫表單25並提交公司註冊處（ROC）核准。
5. LLP 之設立請填寫表單 INC2 並提交 RoC；FLLP 則填寫表單27，並提交公司註冊處（ROC）核准。
6. LLP 設立協議及其相關資訊，請於其設立後30天內填寫表單3
7. 任命通知／終止／股東變更通知及其同意書等相關文件，應於設立後30天內填寫表單4

SETTING UP BUSINESS IN INDIA

INCORPORATION AS A COMPANY: OVERVIEW

1. Check availability of name / registered trademark for incorporation of company
2. Reserve name of the proposed company through online service RUN on MCA website
3. Obtain Digital Signature Certificate (DSC) & Director Identification Number (DIN) for proposed Directors of the Company. DIN can also be applied for through Form INC 32
4. Form INC 32 (Spice) are to be duly filled and submitted to RoC for incorporation of company. PAN and TAN are shall be auto generated based on details filed in the SPICE form
5. Filing of electronic Memorandum of Association (eMoA – INC 33) & Articles of Association (eAoA- INC 34) in INC 32 . For foreign subscribers physical MoA and AoA to be executed and attached
6. Spice uploaded and fee payment is confirmed by MCA
7. RoC verifies/scrutinises all the documents and forms and may suggest few changes to be made in the attachments or form itself. One needs to make necessary changes accordingly
8. Obtain certificate of incorporation. CIN, PAN &TAN numbers are allotted at the time of registration

Note: Notarization & Apostilling / legalization of documents mandatory in case of foreign subscribers / Directors

INCORPORATION AS A LLP/ FLLP: OVERVIEW

1. Obtain Designated Partner identification PIN (DPIN) for all the designated partners in the proposed LLP.
2. Obtain class 2 or class 3 Digital Signature Certificate (DSC) for designated partners of LLP
3. For a quick search on already existing names of LLP a facility is provided by MCA to check list of similar/closely resembling names of existing companies/LLPs. Trademark is also to be checked
4. Filing the proposed name of LLP for approval from the Registrar of Companies through Form1. For filling of FLLP name approval Form 25 is to be filed in.
5. Form INC 2 are to be duly filled and submitted to RoC for incorporation of LLP. For Foreign LLP (FLLP) Form 27 is to be filed in and digitally signed by FLLP
6. Form 3 (Information with regard to LLP agreement and changes, if any made therein) to be filled within 30days of incorporation of LLP.
7. Form-4 (Notice of Appointment/ cessation/ change of Partner/ Designate Partner, his consent etc.) to be filled within 30 days of the date of incorporation

OTHER REGISTRATION REQUISITE AS A APPLICABLE

Register with Employees’ Provident Fund Organization for registration of establishment for allotment of PF Code number. Guide to application
